Professional Services Agreement
This agreement is made on June 29, 2018 by and between Amanda Rogers, owner of Design & Harmony (hereinafter referred to as "Contractor") and Brian Wirtz & Tom Hughes, co-owners of In Extremis (hereafter referred to as Client).
Whereas the Contractor is engaged in the business of designing and building a website and creating landing pages and social media messaging. Client wishes to engage the Contractor to provide design services and content creation in the process of launching a live website.
NOW, THEREFORE, for and in consideration of the mutual promises, terms, provisions and conditions contained herein, the parties agree as follows:
Terms of Agreement:
As a client, I will respond to emails, texts or calls with requests for feedback regarding the website with a rapid turnaround timeline in mind.
I understand that web design is subjective and I will guide, amend, correct and add my input during the process to achieve the end that is aesthetically pleasing to me and highly functional to the end user. This means reading through content created by Contractor to ensure that it accurately represents the missions, vision, values of the Client.
I understand that any images I provide must be royalty-free, my own or must have valid licenses and that Contractor takes no responsibility for verifying that images I provide are mine to use.
I will engage in at least one Zoom or other screen-share session to learn how to navigate the back end of my website so I can update and adjust content as needed after the contract has been completed.
The agreed-upon time table for completion of the website is 4 weeks from the date of this contract. The rapid turnaround nature of this agreement necessitates communication.
Payment shall be due and payable in 2 installments: 1/2 at the start of the contract and the remaining balance at the launch of the live website. The total for this contracted job will be $1,500.
The contracted rate (above) is solely for the services of the Contractor and does not include the annual cost of domain names, any costs involved with hosting on the platform (Squarespace or WIX), repointing domains, Initial setup fees for credit card processing, image licenses or other unanticipated costs.
The staging site will be hosted on Squarespace - staging site to be shared within 10 days of signing this PSA or on the staging site of your choice.
If Client decides to terminate the agreement at any point before live launch the work completed to that point will be transferred to Client's ownership and the final payment will be waived.

Electronic Signature Agreement. By selecting the "DIGITALLY SIGN / SUBMIT" button, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By selecting "DIGITALLY SIGN / SUBMIT" you consent to be legally bound by this Agreement's terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, or to otherwise provide Amanda Rogers Web Design Services, or in accessing or making any transaction regarding any agreement, acknowledgement, consent terms, disclosures or conditions constitutes your signature (hereafter referred to as "E-Signature"), acceptance and agreement as if actually signed by you in writing. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and Amanda Rogers Web Design Services. You represent that you are authorized to enter into this Agreement.
